Meeting Terms and Conditions

These Meeting Terms and Conditions apply when you book, schedule, or attend a meeting with Kelly Gray Advisory through our online scheduling. By booking a meeting, you agree to these Terms on behalf of yourself and anyone you invite to attend. If you do not agree with any part of these Terms, please do not book a meeting.

Kelly Gray Advisory is the registered trade name (DBA) of Dagny Enterprises LLC, a Wyoming Limited Liability Company. Kelly Gray Advisory is a solo practice serving B2B business owners and founders across the United States.

Booked meetings are conversations. They include introductory calls, discovery and scoping calls, proposal reviews, working sessions, kickoffs, and partner or networking calls. A meeting does not create an advisory or client relationship. That begins only when you and Kelly Gray Advisory enter into a separate signed agreement or proposal.

We hold the time we book together, and we ask you to do the same.

• Please give at least 24 hours notice if you need to cancel or reschedule. You can use the link in your confirmation to do either.
• If you do not attend a booked meeting and have not given notice, that is treated as a no-show.
• Repeated late cancellations or no-shows may result in the loss of access to future booking.

Kelly Gray Advisory may reschedule or decline a meeting when needed. If we have to move a time, we will give you as much notice as we can.

Kelly Gray Advisory records and transcribes meetings to keep an accurate record and to follow up well. By booking a meeting, you consent to Kelly Gray Advisory recording, transcribing, and taking notes of the meeting, including through third-party tools such as an AI notetaker, for our internal business use.

If you would prefer that a meeting not be recorded, tell us before the meeting or at the start of the call, and we will turn recording off. You may not record or transcribe a meeting yourself without our prior written consent.

Meetings are provided for informational and exploratory purposes. What we discuss describes our services and general approach. It does not constitute legal, financial, tax, or investment advice, or advice for your specific situation. Any examples or results we describe are illustrative only and are not a guarantee of similar results. You rely on the content of a meeting at your own risk.

During a meeting we may share frameworks, tools, examples, or other materials. These remain the property of Kelly Gray Advisory. You are welcome to use them for your own internal reference. Please do not reproduce, distribute, republish, or sell them without our prior written consent.

When a meeting includes a demonstration of ClearPipe, the following additional terms apply, because the value of ClearPipe depends on its structure and logic staying proprietary. You agree that you will not, and will not permit anyone else to:

• record, screen-capture, screenshot, film, or otherwise capture the ClearPipe demonstration, its configuration, or its logic;
• reverse engineer, or attempt to discover or derive the structure, logic, prompts, or configuration shown;
• recreate, rebuild, adapt, or create derivative works based on what is shown, whether inside Zoho CRM or in any other system; or
• use any manual or automated means, including any artificial intelligence or machine-learning tool, to reproduce, derive, reconstruct, or train any model or system on what is shown.

You will treat the structure, logic, and configuration of ClearPipe as Kelly Gray Advisory's confidential information. These restrictions continue to apply after the meeting ends.

You agree to attend meetings for lawful and good-faith purposes. Kelly Gray Advisory may end or decline a meeting at any time, including where a meeting is disruptive, abusive, or booked in bad faith.

Meetings are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. Kelly Gray Advisory does not warrant any particular result, revenue, or business outcome from a meeting.

To the fullest extent permitted by law, Kelly Gray Advisory shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, business, or data, arising from a meeting or these Terms. Your sole and exclusive remedy for dissatisfaction with a meeting is to stop booking meetings with us.

Information you provide when booking, such as your name, email, and anything you share in the booking form, is handled in accordance with our Privacy Policy. We encourage you to review that policy to understand how your information is collected and used.

Kelly Gray Advisory may update these Meeting Terms and Conditions at any time. When we do, we will update the Effective Date shown above. Your continued booking or attendance after an update is posted constitutes your acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes relating to a meeting or these Terms are subject to the exclusive jurisdiction of the courts located in Sheridan County, Wyoming. In any such proceeding, the prevailing party is entitled to recover its reasonable attorney's fees and costs. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
